AGREEMENT

This End-User License Agreement (“EULA”) is a legal agreement between you and Chat Mate (“we”, “us”, or “our”), governing your use of the Chat Mate app (the “App”). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree to the terms, do not install or use the App. We reserve the right to modify these Terms and Conditions at any time. If there are material changes affecting your rights or obligations, we will notify you through reasonable means, such as in-app notifications. Your continued use of the App after changes are posted signifies your acceptance of the modifications.

LICENSE

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal and non-commercial purposes, subject to the terms of this EULA. You may not:

  • Copy, modify, distribute, or create derivative works based on the App.
  • Reverse-engineer, decompile, or disassemble any part of the App.
  • Use the App for any unlawful or unauthorized purpose.

PRIVACY POLICY

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the App, you consent to the practices outlined in our Privacy Policy.

USER RESPONSIBILITIES

You agree to:

  • Use the App in compliance with applicable laws and regulations.
  • Not use the App to engage in fraudulent, misleading, or harmful activities.
  • Keep your login credentials secure and not share them with others.

DISCLAIMER REGARDING CONTENT USAGE

Legal Use of Content:
You acknowledge and agree that:

  • The App does not authorize or grant you the rights to download, reproduce, or distribute content from third-party platforms (e.g., Facebook, Instagram, YouTube, TikTok, etc.) without proper authorization from the content owner.
  • You are solely responsible for ensuring that you have the necessary rights, licenses, or permissions to download and use any content you access through the App.
  • Any content downloaded through the App is only permitted for personal use and may not be used for commercial purposes, redistribution, or infringement of any intellectual property rights.
  • By using the App, you agree not to use the App for downloading content that violates any intellectual property laws or the rights of third parties. You agree to indemnify and hold harmless Chat Mate for any claims arising from the illegal use of the App, including any violation of copyright or intellectual property rights.

We strongly encourage users to verify the content’s licensing terms and seek permission from content owners before downloading or distributing third-party content.

THIRD-PARTY SERVICES

The App may integrate with third-party services. We are not responsible for the content, policies, or practices of these services. Your use of third-party services is at your own risk.

TERMINATION

We may terminate or suspend your access to the App at any time, with or without cause, including but not limited to violations of this EULA. Upon termination, your rights under this EULA will cease, and you must discontinue use of the App.

DISCLAIMER OF WARRANTIES

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the App will be error-free or uninterrupted.

LIMITATION OF LIABILITY

To the extent permitted by applicable laws, you expressly understand and agree that we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages), resulting from:

  • The use or inability to use the App.
  • Unauthorized access to or alteration of your transmissions or data.
  • Statements or conduct of any third party.
  • Any other matter relating to the App.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the App. The foregoing limitations will apply even if the above-stated remedy fails of its essential purpose.

If any of the exclusions set forth in this section is determined by a court of competent jurisdiction to be unenforceable, then all such express, implied, and statutory warranties shall be limited in duration for a period of thirty (30) days after the date on which you first access the App, and no warranties shall apply after such period.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Chat Mate, its affiliates, officers, directors, employees, consultants, and agents from any and all third-party claims, liability, damages, and/or costs (including, but not limited to, attorneys’ fees) arising from your use of the App, your violation of this EULA, or your infringement (or infringement by any other user of your account) of any intellectual property or other right of any person or entity. You agree to immediately notify us of any unauthorized use of your account or any other breach of security known to you.

EXPORT CONTROLS

The App and the underlying information and technology are subject to U.S. and international laws, restrictions, and regulations that may govern the import, export, downloading, and use of the App. You agree to comply with these laws, restrictions, and regulations when downloading or using the App.

NOTICE TO U.S. GOVERNMENT END USERS

Any App installed for or on behalf of the United States of America, its agencies, and/or instrumentalities (“U.S. Government”) is provided with Restricted Rights as “Commercial Items,” as that term is defined at 48 C.F.R. §2.101. Pursuant to Federal Acquisition Regulation 12.212 (48 C.F.R. §12.212), the U.S. Government shall have only those rights specified in this EULA.

JURISDICTIONAL ISSUES AND OTHER MISCELLANEOUS TERMS

We do not represent or warrant that the App or any part thereof is appropriate or available for use in any particular jurisdiction. We may limit the availability of the App, in whole or in part, to any person, geographic area, or jurisdiction we choose, at any time and in our sole discretion. The laws of India, without regard to conflict of laws principles, shall govern all matters relating to or arising from this EULA and the use (or inability to use) the App. You hereby submit to the exclusive jurisdiction and venue of the appropriate courts of Gujarat, with respect to all matters arising out of or relating to this EULA.

No failure or delay by us in exercising any right, power, or privilege under this EULA will operate as a waiver thereof, nor will any single or partial exercise preclude any other or further exercise thereof. If any provision of this EULA is found unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

You agree that any cause of action arising out of or related to the App must commence within three (3) years after the cause of action accrues. Otherwise, such cause of action is permanently barred.

SUPPLEMENTAL TERMS (APPLE APP STORE)

By accessing the App through an Apple device, you acknowledge and agree that:

  • This EULA is between Chat Mate and you; Apple is not a party to this agreement.
  • Apple has no obligation to provide maintenance or support for the App.
  • Apple is not responsible for addressing claims related to the App or its use.
  • In case of a failure to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any.
  • Apple is not responsible for intellectual property infringement claims.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA.
  • The App may be used by multiple users through Family Sharing or similar functionality provided by Apple.
